Rawasi Albina shareholders reject board remuneration, interim dividends

Riyadh — Mubasher: Rawasi Albina Investment Company announced that its shareholders rejected several key proposals during an ordinary general meeting (OGM) held on 17 August 2026, which saw a 94.5% attendance rate.

The equityholders voted against the disbursement of SAR 630,666.67 in board remuneration for the fiscal year ended on 31 December 2025, with 52.37% of votes cast against the measure.

The assembly also declined to authorize the board to distribute interim dividends for the 2026 fiscal year, as 52.01% of shareholders opposed the resolution.

Additionally, the auditor's report for the 2025 fiscal year was rejected by a 50.67% majority.

Shareholders further blocked the appointment of an independent director and the delegation of general assembly powers to the board under the Companies Law.

Meanwhile, shareholders approved the appointment of Al Zouman, Al Fahad & Al Hajjaj for Professional Consulting as auditors for the 2026 fiscal year with fees of SAR 380,000.

Rawasi Albina further disclosed that the firm subsequently withdrew its bid on 13 August 2026.

The company stated it will schedule a future meeting to address the rejected items and the auditor vacancy following necessary regulatory approvals.
