ProMedEx shareholders ratify dividend authorization, auditor appointment

Riyadh – Mubasher: Professional Medical Expertise Company, known as ProMedEx, has concluded its Ordinary General Assembly meeting on 29 June 2026, where shareholders approved several key resolutions.

The investors ratified the authorization for the Board of Directors to distribute interim dividends for the 2026 fiscal year and the appointment of RSM Allied Accountants as the company’s external auditor, according to a bourse filing.

A primary focus of the meeting was the review and approval of the company’s performance for the 2025 fiscal year.

Shareholders formally approved the Board of Directors’ report, the company’s financial statements, and the external auditor’s report for that period.

Following the review of the previous year’s performance, the assembly turned its attention to future fiscal governance and shareholder returns.

In a significant move for investors, the General Assembly granted the Board of Directors the authority to distribute interim dividends on a semi-annual or quarterly basis for the 2026 fiscal year. This authorization provides the board with the flexibility to manage capital distributions in alignment with the company’s financial health throughout the year.

The assembly also addressed administrative and regulatory matters. Shareholders approved a remuneration of SAR 100,000 for the Chairman, Samir Suleiman Al Omran.

Furthermore, the company’s audit framework was updated through the approval of amendments to the Audit Committee’s charter.

Regarding the company’s external oversight, the assembly voted to appoint RSM Allied Accountants for Professional Consulting to audit the company’s accounts for the 2026 fiscal year.

This mandate includes the examination of the interim consolidated financial statements for the period ending June 30, 2026. The professional fees for these services were set at SAR 420,000.

Board composition was also finalized during the meeting. Shareholders ratified the board’s decision to appoin Adel Abdulaziz Ahmed Boodai as an independent director. He will serve for the remainder of the current board term, which is scheduled to conclude on 27 December 2026.
