Basma Medical terminates agreement for Al Ajaji Dental Complex acquisition

Riyadh – Mubasher: Basma Adeem Medical Company (Smile Care) announced the termination of a non-binding memorandum of understanding (MoU) to acquire 100% of the share capital of Fahd Abdullah Al Ajaji Dental Complex Company.

The listed firm confirmed that it will not proceed with the transaction after the parties involved failed to reach a final agreement on the acquisition terms, according to a bourse filing.

The original MoU was signed with Al Ajaji Trading Company on 9 April 2026.

The proposed deal structure was designed to include a combination of cash consideration, the issuance of new shares, and performance-linked deferred payments.

Basma Medical stated that the termination was reached by mutual consent between the two parties.

According to the disclosure, the cancellation of the acquisition will not result in any additional financial obligations for the listed company.

Basma Medical further noted that the termination is expected to have no material impact on its financial position or its overall business results.
